These Terms of Service ("Terms") govern your use of software products published by Red Taverns, including Red Vote (governance voting for Toastmasters districts) and other products as they become commercially available. By creating an account or purchasing a subscription, you ("you", "your", "the customer") agree to these Terms.
About the operator. "Red Taverns" ("we", "us", "our") is the operating name of Red Taverns Labs Inc., a Canadian corporation incorporated federally and registered in Ontario, based in Ottawa, Ontario. Red Taverns Labs Inc. was incorporated on 4 August 2026; on that date these Terms and all existing subscriptions were assigned to it from the sole proprietorship of Ronald Servant, under which Red Taverns previously operated. Your subscription, pricing, and rights under these Terms are unchanged by that assignment. Customer-facing receipts issued by Paddle.com Market Limited (our authorized Merchant of Record — see Section 4) show the legal-entity name on file with Paddle alongside the Red Taverns trade name.
1. Service description
Red Vote is a software-as-a-service platform for governance voting at Toastmasters District Council meetings, including registration, credentialing, vote allocation, ballot delivery, and audit reporting. The service is delivered as a hosted web application; no local installation is required.
Other Red Taverns products (Red Table, Red Club, Toast Stats, Speech Evaluator, Tavern URL) are governed by these Terms when purchased commercially. Each product's specific feature scope is described on its product page.
2. Account & eligibility
You must be at least 18 years old and authorized to bind the organization purchasing the subscription (e.g., a Toastmasters District). Accounts are created by district administrators or operators; we do not offer per-individual consumer accounts at this time.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Subscription & pricing
Red Vote is sold as a single flat annual subscription. Current pricing is published at taverns.red/pricing and is also displayed at checkout.
- Annual term. Subscriptions run for 365 days from the date of purchase. They are not tied to any external calendar (e.g., Toastmasters Year, fiscal year).
- Auto-renewal. Subscriptions auto-renew on the anniversary of purchase. We send a renewal notice 30 days in advance. You may turn off auto-renewal at any time from your billing portal.
- Founding-customer terms. Customers who enroll between 2026-04-23 and 2026-06-30 receive a one-time 15% discount on the first year (code
FOUNDING15) and a permanent 5% discount on every renewal (codeFOUNDING5) for as long as the subscription remains active. The 5% renewal discount lapses on cancellation; if you re-subscribe, you will be billed at the standard rate. - Pricing changes. We may adjust subscription pricing for future renewal periods, with at least 30 days' notice prior to your next renewal. The founding-customer 5% renewal discount applies as a percentage off whatever the standard rate is at renewal.
4. Payment & taxes
All payments are processed by Paddle.com Market Limited ("Paddle"), our authorized Merchant of Record. Paddle is the seller of record for transactions and is responsible for collecting and remitting applicable taxes (GST/HST/PST/VAT/sales tax) based on your location.
Prices shown on our website are tax-exclusive; taxes are added at checkout based on your country and region. You will receive a tax-compliant receipt from Paddle.
For payment-method updates, invoices, or other billing administration, use the customer portal link in your Paddle receipt or contact ron@taverns.red.
5. Cancellation
You may cancel your subscription at any time. Upon cancellation:
- Access to the service continues until the end of your current paid period. We do not pro-rate refunds for unused time after the 30-day initial-purchase window (see Section 6).
- Auto-renewal is turned off. You will not be charged again unless you re-subscribe.
- Founding-customer status (the permanent 5% renewal discount) lapses. Re-subscribing will be at standard rates.
6. Refunds
Our refund policy is published in full at taverns.red/refund and is incorporated into these Terms by reference. In summary:
- Full refund within 30 days of initial purchase.
- Full refund within 14 days of an auto-renewal charge.
- Refunds are processed by Paddle to your original payment method.
7. Customer data & ownership
You own your data. Personally identifiable information you upload (district rosters, member contact information, voting records) belongs to your organization. We act as a data processor for the purpose of delivering the service.
Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We host data in Canadian regions where feasible (Supabase ca-central-1; GCP northamerica-northeast1) to support PIPEDA and Quebec Law 25 alignment.
Upon request, we will export your data in a portable format (CSV/JSON) and delete it from our active systems within 30 days. Backups are retained for up to 90 days for disaster-recovery purposes.
8. Acceptable use
You agree not to:
- Use the service to manipulate, falsify, or otherwise compromise the integrity of any vote, election, or governance process.
- Attempt to gain unauthorized access to other customers' accounts, data, or infrastructure.
- Reverse-engineer, scrape, or otherwise systematically extract data from the service in ways that violate the spirit of normal use.
- Use the service to send unsolicited communications outside the scope of an active governance event.
- Resell, sublicense, or white-label the service without a separate written agreement.
9. Service availability
We make commercially reasonable efforts to keep the service available. We do not provide a contractual uptime SLA in v1; service availability is "best effort". An SLA may be offered to specific customers under separate written agreements (e.g., enterprise contracts).
We may schedule maintenance with reasonable notice. Emergency maintenance may occur without notice.
10. Termination by us
We may suspend or terminate your account if you materially breach these Terms (including non-payment beyond reasonable retry windows, abuse of the service, or violations of acceptable use). We will give reasonable notice and an opportunity to cure where possible.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising from or related to these Terms or the service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.
Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., death or personal injury caused by negligence; fraud).
12. Governing law & disputes
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Disputes will be resolved in the courts of Ontario, except where mandatory consumer-protection law in your jurisdiction provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to active subscribers by email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
